These Terms of Service (“Terms”) govern the use of the AI Furniture visualiser widget and related services (collectively, the “Service”) provided by us to furniture retailers (“Retailers”). By using or integrating the Service, you agree to these Terms.

1. The Service

The Service enables shoppers on a Retailer’s website to upload a room photo and preview how certain furniture products might look in that space. The Service generates AI-based visualisations using retailer product data and user-supplied images.

2. Relationship between us, retailers and shoppers

We are not a party to the sale of products between retailers and shoppers. We do not set prices, delivery terms, returns policies or guarantees for those products.

3. Visualisations are illustrative only

The visualisations generated by the Service are designed to help shoppers understand how a product might look in a given room. They are illustrative approximations, not technical drawings, architectural plans or exact digital twins.

While we aim for realistic placement, angle, scale and colour, several factors can affect the outcome, including:

We do not sell personally identifiable information about end shoppers. Where we offer anonymised or aggregated insights (for example, patterns in the types of rooms or products visualised), these are produced in a way that does not identify a specific individual or household.

7. Intellectual property

All rights, title and interest in and to the Service (including software, models, dashboards, documentation and generated system prompts) are and remain ours or our licensors’. Retailers retain all rights in their own product data, images and branding.

Subject to payment of applicable fees and compliance with these Terms, we grant retailers a limited, non-exclusive, non-transferable licence to embed and use the widget on their own sites for the duration of the agreement.

Fees, billing models (such as per-use, per-product or subscription) and payment terms are agreed separately in an order form, proposal or subscription agreement between us and the retailer. We may suspend or limit the Service if invoices are not paid on time.

We aim to keep the Service available and responsive, but we do not guarantee uninterrupted or error-free operation. We may temporarily suspend the Service for maintenance, security or technical reasons and will use reasonable efforts to minimise disruption.

11. Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available” without any warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement or reliability.

12. Limitation of liability

To the maximum extent permitted by law, we shall not be liable for any loss of profits, revenue, data, business, or any indirect, incidental, special or consequential damages arising out of or in connection with the use of the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability to a retailer in respect of all claims arising out of or in connection with the Service (whether in contract, tort or otherwise) shall be limited to the fees paid by that retailer for the Service in the 12 months preceding the event giving rise to the claim.

13. Indemnity

Retailers agree to indemnify and hold us harmless from any claims, damages, liabilities, costs and expenses arising out of: (a) their misuse of the Service; (b) their inaccurate or misleading product data; or (c) their breach of these Terms or applicable law.

14. Term and termination

The agreement between us and a retailer continues for the term set out in the relevant order or subscription. Either party may terminate for material breach that is not cured within a reasonable period, or as otherwise provided in the commercial agreement. On termination, retailers must remove the widget from their sites and cease using the Service.

15. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date above and, where appropriate, notify retailers or provide notice via our dashboard or website. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

16. Governing law and jurisdiction

These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction, except where mandatory law provides otherwise.
